Agreement to Terms
These Terms and Conditions constitute a legally binding agreement between you and MetricLab regarding your access to and use of our website, training programs, and related services. By accessing our website or participating in our programs, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety.

User Obligations and Conduct
General Conduct Requirements
As a user of our services, you agree to conduct yourself in a professional and respectful manner at all times. This includes interactions with instructors, staff, and fellow participants in all program activities, whether conducted in person or through digital platforms.

- • Attempting to gain unauthorized access to any portion of the services or related systems
- • Using the services for any commercial purpose without express written authorization
- • Collecting or harvesting personal information about other users
- • Transmitting viruses, malware, or any code of a destructive nature
- • Creating derivative works based on our proprietary materials without permission
Compliance and Legal Responsibilities
Regulatory Compliance
You are solely responsible for ensuring that your use of our services complies with all applicable laws, regulations, and professional standards in your jurisdiction. Indemnification and Hold Harmless
You agree to indemnify, defend, and hold harmless MetricLab, its instructors, employees, contractors, agents, officers, directors, shareholders, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to legal fees and expenses) arising from:

- • Your violation of any provision of these Terms and Conditions
- • Your violation of any third-party right, including intellectual property, privacy, or other proprietary rights
- • Any claim that your use of the services caused damage to a third party
- • Your violation of any applicable laws or regulations
- • Any content or materials you submit, post, or transmit through the services
This indemnification obligation survives the termination of these Terms and Conditions and your use of the services. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully with us.
Disclaimers and Warranties
Services Provided "As Is"
The services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permissible under applicable law, MetricLab disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
No Guarantee of Results
MetricLab does not warrant that participation in our training programs will result in specific outcomes, career advancement, research success, or professional achievements. Individual results vary based on numerous factors including prior knowledge, effort invested, external circumstances, and individual capabilities.
Content Accuracy
While we strive to provide accurate and current information, we make no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of content provided through our services. Course materials reflect current methodological practices at the time of development but may not account for all recent developments in rapidly evolving fields.
Technical Reliability
We do not warrant that the services will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from the use of the services will be accurate or reliable. Technical issues, including server failures, network disruptions, or software bugs, may occasionally affect service availability.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall MetricLab, its instructors, officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:
- • Loss of profits, revenue, or business opportunities
- • Loss of data or information
- • Loss of goodwill or reputation
- • Business interruption
- • Personal injury or property damage
- • Cost of procurement of substitute services
This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if MetricLab has been advised of the possibility of such damages.
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the maximum extent permitted by law.
Our total aggregate liability arising out of or related to these Terms and Conditions or your use of the services shall not exceed the total fees paid by you to MetricLab for the specific service giving rise to the claim during the twelve months preceding the claim, or one hundred thondese Yen (¥100,000), whichever is less.
Force Majeure
MetricLab shall not be liable for any failure to perform its obligations under these Terms and Conditions where such failure results from circumstances beyond our reasonable control, including but not limited to:
- • Natural disasters (earthquakes, floods, storms, pandemics)
- • Acts of government or regulatory authorities
- • War, terrorism, civil unrest, or public emergencies
- • Labor disputes or strikes
- • Failure of telecommunications or internet infrastructure
- • Power outages or utility failures
- • Acts of third parties beyond our control
In the event of a force majeure situation, we will make reasonable efforts to resume services and may offer alternative arrangements where feasible.
Dispute Resolution and Governing Law
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Dispute Resolution Process
In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or your use of the services, the parties agree to first attempt to resolve the matter through good faith negotiations. Either party may initiate negotiations by providing written notice to the other party describing the dispute in detail.
Jurisdiction and Venue
If negotiations do not resolve the dispute within thirty days, either party may pursue legal remedies. You agree that any legal action or proceeding arising from these Terms and Conditions shall be brought exclusively in the courts located in Tokyo. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
Modification of Terms
MetricLab reserves the right to modify, amend, or update these Terms and Conditions at any time. When we make material changes, we will update the "Last Revised" date at the top of this document and may provide additional notice through our website, email, or other communication channels.
Your continued use of the services after the effective date of any modifications constitutes your acceptance of the modified Terms and Conditions. If you do not agree to the modified terms, you must discontinue your use of the services.
It is your responsibility to review these Terms and Conditions periodically to stay informed of any changes. We recommend checking this page regularly if you are an active user of our services.
Termination
Termination by MetricLab
We reserve the right to suspend or terminate your access to the services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms and Conditions, fraudulent activity, violation of applicable laws, or behavior that threatens the safety or integrity of our services or community.
Termination by You
You may terminate your use of the services at any time by ceasing to access the website and discontinuing participation in programs. If you have enrolled in a paid program, termination does not automatically entitle you to a refund, and program-specific refund policies will apply.
Effect of Termination
Upon termination, your right to use the services immediately ceases. All provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
Severability
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If such modification is not possible, the invalid provision shall be severed from these Terms and Conditions, and the remaining provisions shall continue in full force and effect.
Waiver
No waiver by MetricLab of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by MetricLab to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.
Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms and Conditions without the prior written consent of MetricLab. Any attempted assignment in violation of this provision shall be void. MetricLab may assign or transfer its rights and obligations under these Terms and Conditions without restriction.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any program-specific terms, constitute the entire agreement between you and MetricLab regarding your use of the services and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.
